The Securities and Exchange Commission (SEC) announced just last week the temporary closure of the SEC Main Office in Philippine International Convention Center (PICC), Pasay City to give way for the office disinfection due to the initial positive COVID-19 test result of four SEC employees. SEC resumed their operations last July 1, 2020 after the said employees tested negative on the confirmatory tests. SEC shall likewise resume accepted Annual Financial Statements (AFS) and General Information Sheet (GIS). Below are the modes of submissions allowed and the prescribed adjusted filing schedules:

Modes of Submission of Reports

  • Through Courier Services or Registered Mail using the SEC Express Nationwide Submission (SENS) Facility

As advised through Memorandum Circular (MC) No. 18-2020, Companies may use the SENS facility (https://sens.secexpress.ph/) in the submission of its annual reports.

The reporting company may request for return copies of the submitted reports by including in the package the prepaid return envelopes with stamps. Otherwise, the company may just request for a plain or authenticated copy of the AFS/GIS two months after the receipt at https://secexpress.ph/.

  • Email Submission

Scanned copies of the duly signed and/or notarized reports could be sent through email at the below addresses:

The documents are considered received on the date reflected in the email Acknowledgment Receipt from SEC. The printed copies of the reports could be submitted later or after the prescribed deadlines

  • Submission in the SEC Extension Offices

Companies located outside the National Capital Region (NCR) may submit its reports in the SEC Extension Offices except SEC Cebu (while it is still under Enhanced Community Quarantine), SEC Baguio (until July 3, 2020), and SEC Tarlac until further notice.

Below are the adjusted deadlines for AFS and GIS:

  • AFS

The filing schedule prescribed under MC No. 18-2020 basically remains the same as follows:

The submissions on June 29 and 30 are dropped since these are non-operational dates of the main office per previous SEC Notice.

  • GIS

Corporations with annual stockholders’ meetings held during the Enhanced and Modified Community Quarantine in NCR may submit its GIS using the SENS facility until August 31, 2020, without incurring penalties.
